Welcome to Girafio.com UG (haftungsbeschränkt) ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our software development services. By using our Services, you agree to these Terms.

Services

We provide software development services tailored to your needs. Project scope and deliverables will be defined in a separate agreement.

Payment

Fees and payment terms will be outlined in the invoice. Late payments may incur additional charges.

Confidentiality and NDA

If confidentiality is required, a Non-Disclosure Agreement (NDA) must be signed before the project starts. The NDA overrides any conflicting terms in this document.

Non-Circumvention Agreement (NCA)

You may not bypass us to hire people we introduce for 5 years. Any violation is a material breach of these Terms.

Intellectual Property (IP)

All rights to the final deliverables belong to the client upon project completion and full payment.

Liability

Our liability is limited to the amount paid. We are not responsible for indirect or consequential damages.

Termination

Both parties may terminate at any time with written notice. Work up to the date must be paid.

Governing Law

These Terms are governed by German law. Jurisdiction: Potsdam, Germany.

Changes to Terms

We may update these Terms at any time. Continued use implies acceptance of the updated Terms.
